Last updated: [EFFECTIVE DATE]. These terms govern the purchase of seal kits and other goods from [LEGAL ENTITY NAME]. They apply to every order. Read section 7 before you order — it is the one that decides who pays when a kit does not fit.
1. These terms govern
These terms, together with the Returns, Refunds, Exchanges and Warranty Policy and the Shipping Policy, are the whole agreement for your purchase. If you buy on net terms, the B2B Credit Terms Agreement also applies.
If you send us a purchase order, any pre-printed or standard terms on that purchase order are rejected and have no effect. These terms govern over any conflicting terms in your purchase order, order portal, vendor agreement or invoice acknowledgement, whether or not we sign it. A purchase order number is a reference we record for your convenience, not an agreement to your terms.
2. Our kits are built to order
We do not stock finished seal kits. We assemble each kit after your order is accepted, from individual seals, wipers, O-rings, backup rings and bushings sourced from our suppliers. This is why we can supply odd sizes and superseded cylinders, and it is why lead times, cancellation and returns work the way they do below. Read sections 3, 6 and the Returns Policy together.
3. Your order is an offer. The contract forms when we confirm it.
Submitting an order is an offer to buy. It is not a contract, and the page shown after you submit is an acknowledgement that we received the offer, not an acceptance of it. Authorization of your payment card is not acceptance either — an authorization is a hold, not a sale.
The contract forms when we send you the Order Confirmation email, or when we ship, whichever happens first. Until then we may decline your order, in whole or in part, for any lawful reason, including that a part is unavailable, that the fitment data does not support the kit you selected, that the order appears fraudulent, or that a price or description was wrong.
If we decline your order we release any authorization and refund any amount taken, and we tell you why.
4. Lead times
Kits are assembled after acceptance. The lead time shown on the product page and in your Order Confirmation is [N] business days, typical, and is a good-faith estimate, not a guarantee and not a term of the contract.
If we learn that your order will take more than [DELAY NOTIFICATION THRESHOLD, e.g. 3 business days] longer than the estimate we gave, we will tell you and you may cancel for a full refund at that point, even if the cancellation window in section 6 has closed.
We are not liable for delay. We are not liable for any loss caused by delay, including the losses listed in section 10. Neither party is liable for failure or delay caused by events outside its reasonable control, including supplier failure, carrier disruption, labour action, natural events, war, and acts of government.
Lead time and transit time are different things and are stated separately. See the Shipping Policy.
5. Prices, pricing errors, payment and tax
Prices are in US dollars and exclude shipping and tax unless stated. The price that applies is the price shown when you submit your order, subject to this section.
Pricing and description errors. Despite our efforts, an item on this site may occasionally be listed at an incorrect price or with an incorrect description. Where the error is manifest and obvious — an error a reasonable buyer would recognize as a mistake rather than a bargain — we are not bound by it, even after the Order Confirmation email. We may cancel the order and refund you in full, or contact you and give you the choice of proceeding at the correct price. We must do this within [N, typically 5] days of the Order Confirmation; after that the confirmed price stands. This section does not let us cancel an order simply because we would rather have charged more.
Payment. Card payments are processed by Stripe. We authorize your card at [AUTHORIZATION POINT: order submission] and capture at [CAPTURE POINT: shipment / acceptance]. Card data is entered directly into Stripe's payment form and never reaches our systems; we hold only the card brand, the last four digits and a Stripe token.
Net terms. If we have approved you for net terms, payment is due per the B2B Credit Terms Agreement. Late amounts accrue a late charge of [RATE] per month, or the maximum the law of [STATE] allows, whichever is lower. We may suspend shipments while a balance is past due, and you are responsible for costs of collection, including reasonable attorney's fees, to the extent the law allows.
Tax. Sales tax is calculated by Stripe Tax based on the shipping destination. If you are exempt, you must give us a valid exemption certificate for the destination state before the order is placed; a certificate supplied later does not retroactively remove tax already charged and remitted, though we will apply it to future orders.
6. Cancellation
You may cancel an order without charge until the earlier of:
- the moment the build is released to assembly, which is recorded on your order as the "released" event with a timestamp; or
- [N] hours after the Order Confirmation email.
Your order page shows which of these has happened and when. The cutoff is a recorded event on your order, not a judgement call.
After that cutoff, the kit is being built to your specification and the order is [non-cancellable / cancellable only on payment of a [X]% restocking fee]. If assembly has not started, we will always try to stop it, but we are not obliged to.
We may cancel an order under sections 3 or 5, or if you fail to pay.
7. Fitment — read this before you order
Verifying fitment is your responsibility.
Our original equipment part numbers, model and serial-range listings, dimension tables and diagrams are provided as an aid to identification. They are not a warranty that a kit fits your machine, and nothing on this site should be read as one.
Hydraulic cylinders in the field very often do not match the factory record:
- the machine has been rebuilt before, sometimes with non-original seals of a different profile or size;
- the manufacturer changed the cylinder mid-model-year at a serial break that is not always documented;
- a cylinder from another machine has been fitted;
- the gland, piston or rod has been replaced with a non-original part;
- the bore or rod has been honed, sleeved or otherwise altered.
Before you order, we recommend that you:
- Read the machine's serial number and check it against the serial ranges we list.
- Measure the bore, the rod and the stroke yourself with a caliper, and compare them against the kit's stated dimensions.
- Measure the old seals — inside diameter, outside diameter and height — and photograph them next to a rule.
- Identify the gland style and the port type.
- Where anything disagrees, send us the numbers and photographs at [SUPPORT EMAIL] before ordering. We will identify the kit for you, and doing so costs you nothing.
If the kit does not fit. We do not pretend this never happens. A kit that does not fit is handled under the Returns, Refunds, Exchanges and Warranty Policy: if the kit is unopened, uninstalled and complete, we will exchange it for the correct kit, and we make that exchange as simple as we can. Where we identified the kit for you from measurements you supplied accurately and we got it wrong, we pay return shipping and there is no restocking fee. Where the kit matched the dimensions you gave us but those dimensions were wrong, the return is a buyer's-convenience return under that policy.
Once a seal has been installed, stretched over a piston, or fitted into a gland, it cannot be returned and cannot be exchanged, whether or not it fits. Check the kit against your old seals before you install anything.
8. Limited warranty
We warrant to the original buyer that the goods will be free from defects in materials and workmanship for [N] days from delivery.
Your sole and exclusive remedy, and our entire liability, under this warranty is, at our option, replacement of the defective goods or refund of the purchase price paid for them. We do not pay for labour, removal, reinstallation, or anything else.
To make a claim you must contact us within the warranty period, give us proof of purchase, describe the failure, and supply photographs of the failed part, the part numbers and the machine serial number. You must obtain a Return Merchandise Authorization number from us before returning anything; goods returned without one may be refused.
9. What the warranty does not cover
The warranty does not cover, and we are not responsible for, failure or damage arising from:
- Improper installation. This is the most common cause of a seal failure and it is excluded. Seals must be installed clean, in the right orientation, without nicking, over-stretching, or pinching, using the right tools, and to the equipment manufacturer's procedure and torque.
- Installation by a person not competent to rebuild hydraulic cylinders.
- The buyer ordering or selecting the wrong kit, or supplying incorrect measurements or machine information.
- Contamination of the hydraulic system, including dirt, water, metal particles and degraded fluid.
- A scored, corroded, pitted, oval or out-of-specification bore, rod, gland or piston. A seal cannot seal a damaged surface, and fitting a new kit to one is the second most common cause of a repeat leak.
- Operating pressure or temperature outside the equipment manufacturer's specification, or pressure spikes from relief valve misadjustment.
- Hydraulic fluid that is incompatible with the seal material supplied, or a fluid change after purchase.
- Normal wear, ageing, or the expected service life of an elastomer.
- Modification of the goods, or use of the goods in an application they were not supplied for.
- Seals that have been previously installed, removed and refitted.
- Damage in transit arranged by the buyer, or after risk of loss has passed under the Shipping Policy.
- Any goods for which the purchase price has not been paid in full.
10. Disclaimer of consequential damages — including equipment downtime
To the fullest extent permitted by law, we are not liable for any of the following, however caused and on any theory of liability:
- Equipment downtime, and loss of use of the machine.
- Lost productivity, lost production, missed deadlines and delayed projects.
- The cost of renting, hiring or substituting replacement equipment.
- Field labour, mechanic time, shop time and travel time, whether your own or a third party's.
- Crop loss, harvest loss, livestock loss, and losses from weather windows missed.
- Towing, recovery, transport of a disabled machine, and site standby costs.
- Environmental clean-up of spilled hydraulic fluid.
- Lost profits, lost revenue, lost contracts, loss of goodwill.
- Any other indirect, incidental, special, consequential, exemplary or punitive damages.
This exclusion applies even if we were told such loss was possible, and even if a limited remedy in these terms is found to have failed of its essential purpose. It survives termination.
We are a supplier of seal kits. A kit typically costs a small fraction of what a day of downtime costs, and we are not insuring that downtime at that price. If downtime exposure matters to you, insure it or keep a spare cylinder.
11. Limitation of liability
To the fullest extent permitted by law, our total aggregate liability arising out of or relating to any order, on any theory of liability, will not exceed [the purchase price paid for the specific goods giving rise to the claim / the total amounts you paid us in the [N] months before the claim arose].
Some states do not allow the exclusion or limitation of certain damages. Where a limitation in sections 10, 11 or 12 is unenforceable against you, it is limited to the minimum extent necessary and the rest remains in force.
12. Disclaimer of implied warranties
Except for the limited warranty in section 8, and to the fullest extent permitted by law, we disclaim all other warranties, express or implied, including the implied warranties of merchantability and fitness for a particular purpose. Section 7 is specific: we do not warrant that any kit is fit for your machine, because whether it fits depends on the state of your machine, which we cannot see.
Some states do not permit the disclaimer of implied warranties to consumers. If you buy as a consumer in such a state, this section does not take away rights that state's law gives you, and any implied warranty is limited in duration to the period in section 8 where that is permitted.
13. Indemnification (business buyers)
If you buy other than as a consumer, you will indemnify and hold harmless [LEGAL ENTITY NAME] from claims, losses and expenses arising out of your installation, use, resale or disposal of the goods, or your breach of these terms, except to the extent caused by our own negligence or wilful misconduct.
14. Shipping scope
We ship within the United States only. Excluded and limited destinations are listed in the Shipping Policy. We do not export, we do not ship to freight forwarders acting as exporters [POSITION], and you may not export the goods in breach of US export law.
15. Governing law and venue
These terms and any dispute arising out of them are governed by the laws of the State of [STATE], without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
The exclusive venue for any dispute is the state and federal courts located in [COUNTY, STATE], and both parties consent to personal jurisdiction there.
16. Dispute resolution
[ARBITRATION OR COURTS — this is a real business decision and must be made deliberately, not inherited from a template.]
If arbitration is chosen, this section must state: the provider and rules, the seat, a class-action waiver, an opt-out window and how to use it, a small-claims carve-out, and who pays the fees.
[CONFIRM] §7.13 item 5 — whether a consumer arbitration clause with a class-action waiver is enforceable against consumers in [STATE]. Consumer arbitration clauses face active challenge and this needs counsel, not a template.
17. General
Entire agreement. These terms, the Returns Policy, the Shipping Policy, the Privacy Policy and, where applicable, the Credit Terms Agreement are the entire agreement between us about your purchase, and replace anything said or written before it.
Severability. If a provision is unenforceable, it is modified to the minimum extent needed to make it enforceable, or severed, and the rest stands.
No waiver. Not enforcing a provision once does not waive it.
Assignment. You may not assign an order without our written consent. We may assign to a successor in our business.
Notices. Notices to you go to the email address on your order. Notices to us go to [LEGAL ENTITY NAME], [MAILING ADDRESS], and to [SUPPORT EMAIL].
Survival. Sections 7 through 13, 15, 16 and 17 survive completion or termination of an order.
